1. Introduction

Welcome to gigno.app. These Terms and Conditions ("Terms") outline the legally binding rules, rights, and regulations for the use of the Gigno™ website and platform ("Gigno™", "Gigno", "Platform", or "Service"), which is owned and operated by Meta-Frux Limited ("Meta-Frux", "we", "our", or "us").

By accessing or using Gigno™, including our public website, secure intake portals, and provisioned software environments, you agree to comply with and be fully bound by these Terms. If you do not agree with any part of these corporate terms, you must immediately cease all access and use of the platform.

2. Use of the Platform

Gigno™ provides a relational software platform designed to help organizations structure, map, and preserve institutional knowledge, including departments, policies, core products, operational challenges, decisions, and outcomes.

Users are solely responsible for the legal accuracy, integrity, and compliance of any information, data, or records they submit to the Platform. Meta-Frux Limited does not preview, verify, or guarantee the accuracy of user-submitted workspace content, and assumes no responsibility or liability for any information stored within the Platform by its users.

3. Account Security and Onboarding

Access to specialized features or provisioned environments requires the creation of an operational account. You agree to provide thoroughly accurate, current, and complete information during our intake qualification phase and to maintain the strict security of your workspace login credentials.

You are fully responsible for all activities, data entries, and relational modifications that occur under your provisioned account. Meta-Frux Limited reserves the right to suspend, restrict, or terminate accounts or corporate workspaces that violate these Terms or our Acceptable Use Policy.

4. User Content and Workspace Isolation

Users and their respective corporate organizations retain full, exclusive ownership of all proprietary information, data, and structural records they submit to the Gigno™ platform.

By uploading content to a provisioned environment, you grant Meta-Frux Limited a strictly limited, non-exclusive, royalty-free license to store, process, display, and maintain that information solely for the operational purpose of hosting and securing your dedicated, isolated workspace. This license does not permit Meta-Frux Limited to utilize your private workspace data for external commercial purposes, public aggregation, or artificial intelligence (AI) training models.

5. Fees, Payments, and Annual Tiers

Access to provisioned Gigno™ environments is subject to fixed, predictable annual subscription fees structured by workspace tiers and team scale, as outlined on our pricing documentation.

Fees may be invoiced directly by Meta-Frux Limited or processed securely through designated, authorized third-party payment processors such as Paystack. Unless stated otherwise in a separate written agreement, all subscription fees are due in advance of workspace activation. Meta-Frux Limited reserves the right to suspend platform access, freeze workspace node changes, or terminate environments if payment obligations are not fulfilled in accordance with the agreed billing schedules.

6. Cookie Usage

Gigno™ utilizes cookies to optimize user authentication, preserve active workspace sessions, and improve interface performance. Cookies are small text files placed on your device by our secure web servers. They cannot execute external programs or deliver malicious files to your device.

Certain cookies are strictly required for the core security and functional operation of the platform. By utilizing gigno.app or logging into an isolated workspace, you explicitly agree to the placement of these necessary functional cookies on your device.

7. Intellectual Property Rights

Unless otherwise explicitly stated, Meta-Frux Limited and its licensors own all intellectual property rights, titles, and interests relating to the Gigno™ platform. This exclusive ownership extends to all source code, branding assets, logos, user interface designs, metadata configurations, workflows, ontologies, and underlying relational graph database architectures. All rights are strictly reserved.

You are granted access to the Platform solely for internal organizational operations, subject to the explicit restrictions defined in these Terms. You must not:

Copy, replicate, or republish proprietary layout material from Gigno™ without written consent.
Sell, rent, lease, sublicense, or commercially exploit any material or frameworks from the Service.
Reproduce, duplicate, or clone the platform's underlying relational logic or database configurations.
Redistribute or export core platform materials outside your authorized corporate workspace without clear authorization.

8. Service Availability and Modifications

Meta-Frux Limited employs industry-standard infrastructure safeguards to ensure the Gigno™ platform remains securely operational and accessible. However, we do not guarantee completely uninterrupted or error-free access to the Service. We reserve the right to temporarily suspend platform availability, run environment diagnostics, or restrict access to complete necessary maintenance, system upgrades, or emergency technical patches.

9. Content Indemnification

Meta-Frux Limited exercises zero editorial control and holds zero liability over the specific operational data, challenges, or decisions stored by users within the system. You agree to fully indemnify, defend, and hold harmless Meta-Frux Limited, its directors, and its affiliates from and against any third-party claims, legal actions, damages, losses, or financial liabilities arising directly from the content or records submitted to and hosted within your workspace.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Meta-Frux Limited shall not be liable to you or any third party for any indirect, incidental, special, consequential, or punitive damages. This includes, without limitation, losses of corporate revenue, profits, data, goodwill, or other intangible business disruptions resulting from your use of or inability to use the Platform.

Gigno™ is provided on an "as-is" and "as-available" architectural basis. Meta-Frux Limited does not make any warranties, express or implied, regarding the absolute completeness, accuracy, or long-term permanence of data entries left unmaintained by the user organization.

11. Governing Law and Jurisdiction

These Terms and Conditions, along with any operational disputes or claims arising from your use of the platform, shall be governed by, interpreted, and construed strictly in accordance with the laws of England and Wales. Any legal action, suit, or proceeding arising under or in connection with these Terms shall be brought exclusively before the courts of competent jurisdiction located in London, United Kingdom.

12. Changes to These Terms

Meta-Frux Limited reserves the right to modify, amend, or update these Terms and Conditions at any time. Continued use of the Gigno™ platform or website following the publication of any modifications constitutes your explicit, legally binding acceptance of the revised Terms.
